I agree with Ravi’s post about using the LoI to flush out the seller’s hot buttons. The LoI is non-binding, so form is really a matter of preference. The sample in the post referred to above is probably on the long side, and I often delete the part listing the due diligence items. That can scare off sellers by implying you’re going to nit-pick the property. As a big thumb rule, the less sophisticated the seller, the simpler I try to make the documents. The LoI is my preferred way to get negotiations started and keep everyone on the same page when it comes time to draft the contract.

I am a long time reader of this forum. This is my second post here. So please pardon me, if I fumble along the way on this post.

The more experienced people here can give you better input regarding a good sample LOI. I am posting a link to a sample LOI below. I am not sure if it is a good example of a LOI or not. I think it is a little too long, but as a sample, it gives you things to think about. I would like the veterans to please comment on it and/or my post.

Please seek legal advise before you use a LOI as each state has it’s own unique way of doing things.

Personally, I use a shorter version of LOI (two pages). I used a longer LOI several years back (seven pages), it didn’t work as well. The attorneys and I were really impressed with it, but it scared away a lot of sellers.

To me, the goal of the LOI is to get to second base, not to hit a home run (buyer’s perspective). Towards that end. I want to keep it short and simple. I want to present a LOI to get the seller to bite on it before I decide on the different ways to negotiate the deal. I want him to show me some of his cards.

From the seller’s perspective, I want to see a contract (I want to see all the cards the buyer has) before I respond.

These are some broad opinions and they don’t apply in all situations, these are just some things to think about. Each deal is different and one would handle it according to the circumstances.

I am not sure which state the property is in. I have some resources that pertain to Texas I can forward to you if you like.
