I cannot address you legal liability issues, but can address your tax issues. You and/or your S Corporation will be subject to taxes in the state in which the property is located and the state in which you are resident.

I am expanding my my investments into commercial properties and had a couple of questions. I am looking at Self Storage facilities and plan to hold each in separate LPs with the General partner being an S-Corp. Is there a danger of being a Limited Partner and an Officer in the S-Corp.? Also, do you have to form the S-Corp in the State you live since it is a pass through entity or does it have to be in the State where the properties are or can it be in a more tax friendly state? I hope this is not too confusing and I would appreciate any input. Thanks.
