The signature for the LP would look like this:

“John Doe, Trustee for St Mary Trust, Member of 123, LLC, Gen Partner
of ABC, LP”

Why not use an S corp for the GP instead of an LLC? If the properties
are owned in land trusts, the beneficiary (the LP) would not even come
up, thus keeping your privacy.

Bill,

In your LLC/LP course you recommend using a living trust as the limited partner of an LP for privacy. If I utilize this strategy, how do I sign documents on behalf of the LP? Should I be the trustee? If I am not the trustee can I sign documents as the beneficiary. Surely the trustee is not responsible for signing everything, right?

Can you give me an example of how the signature will be written out?

The only one who can sign on behalf of a limited partnership is the
general partner. So, the GP still signs.

Thanks for the quick response. I still do not quite understand.

After further investigation, I discovered that my state (Texas) does not require me to name the limited partners on the certificate of limited partnership. However, my Limited Partnership will will have an LLC as the general partner. Texas does require that you list the manager and/or members of the LLC.

Therefore I want to create an LLC that has a trust as it’s sole member.

I understand now that the General Partner always signs for the Limited Partnership. What I am not sure about is how “exactly” the General Partner signs documents.

Let me give you some specifics to work with.

Limited Partner Name: ABC, LP
General Partner: 123, LLC
Sole Member of LLC: St. Mary Trust, John Doe Trustee (Suzy Smith, Beneficiary)

Using this information, what would the General Partner signature look like if the General Partner was signing on behalf of the ABC, LP?
