I do have them. I paid for Bronchick’s course on LLC’s to get them. I suggest you purchase the same course it has everything you need and is about a third of what a lawyer would charge. It will also keep you from making some serious mistakes.

establishing entities is a very easy process, and does not require an attorney. I can say this with complete honesty, having practiced law for 20 years. ou can probably get a sample at the website for the Secretary of State in your state.

But in choosing the best entity for your situation, you need to talk to someone LOCAL. could be a CPA or business attorney. or a knowledgeable business person in YOUR LOCATION. don;t act locally, based on generic recommendations from gurus or authors.

An LLC may not be the best way to conduct business in your location.

Example: People in Texas should not use Texas LLC’s to conduct their business activities. Why? Because TX imposes their franchise tax on LLC’s, but does not do so on LP’s. If you blindly followed the advise of your guru, without closely checking out the LOCAL RULES, you would unnecessarily expose yourself to taxation. By the way, the preferred structure in TX is a Texas Limited Partnership as the primary vehicle, with a Texas LLC as 1% General Partner.

Since TX seems to be different, can you recommend a lawyer/CPA in Austin TX, or TX in general, to assist me with creating the right corporate structure for my real estate investment ventures?
