Hi I have a commercial office building that we are negotiating lease terms with a college from NY. I live in PA. We would actually like to sell the building after we have owned it for a year (this Septmeber) and want to offer the college an arrangement where they would buy our LLC, make payments on our $1 million loan and give us 15% down, and pay us the rest of our equity in company stock. The company tha towns the college is a publicly traded company. Is this arrangment possible? If it is, when is the gain taxable, on sale of the stock or transfer of the equity? (sale of building).
