Creating an LLC in NJ - Posted by Matthew Singer

I created an LLC on-line in NJ. The members are myself and my wife. My question is do you need to also register for tax and employee purposes even if you do not have nor intend to have employees in the near future?
Also, is the the Law in NJ that you need an operating agreement even if the members are just yourself and your wife?
Thanks

I’m not familiar with NJ law, however as far as the IRS, if the LLC has more than one member, you will need to apply for an EIN regardless of whether you have employees or not. This can be doen online at www.irs.gov or fill out and mail in form SS-4.
If you ever have employees, I would guess that NJ Employment Department (or whatever they call themselves) will have some form to fill out for employment tax purposes.
In most states, a written operating agreement is not a requirement. Oral agreements are perfectly valid, although not recomended.
