What Nate is alluding to is the fact that there are/have been numerous posts on this issue which are easily available by searching the archives - 108 within the commercial section alone (388 in MNG, 180 in Financing, etc, etc).
The suggestion is read these first (or as many as you need to answer your general question) and then ask more specific questions about specific deals, state/city-specific regulations, contradictory advice, whatever, whatever.
