No one said it is illegal for an NV entity to do biz elsewhere. of course they can. but that NV entity has to register with the Secretary of State in that other state, and that, of course, subjects the NVC corporaiton to franchise/income taxation in the other state.
and one more thing. Exxon and 1000 other public companies are uniformly incorporated in Delaware, and are registered to do business in all 50 states.

It might or might NOT be necessary to register your new NV corp or LLC in your state.
Generally NOT necessary if that NV or out-of-state corp is used only to buy & flip properties, but IS necessary if it’s operating as a business (such as renting properties) in your state.

CT Corporation publishes a great little book on this issue of whether its necessary to register State A corp or LLC in other states where its doing something.
“What Constitutes Doing Business” is title
CT’s prime business is taking care of incorporating and registering its many corporate clients in “other” states where those clients are legally “doing business”.
It has been publishing this little book for lawyers for many years and re-does it every year or so.
It answers this question and has court citations for every state and US jurisdiction where the issue has been litigated and the appeal reported.
Your county or closest law school library will have latest edition that you might look at.
The book currently on my book shelf is dated 2003 so there’s probably a newer one by now.
Why not nevada they have better laws regarding business entity protection. Regardless of your wanting to do business across the state border its not illegal for a business in one state to do business in another! Using trusts are also important for long term wealth protection. Dont let the naysayers tell u that u are unable to do business across state lines. That would be non sense. Business entities do business across state lines and internantional lines with no regard as to there activity in that governing zone. If you think its a problem then that means half the companies traded on the stock market are breaking the rules too. lol Dont be afraid to do things diferently. Just get really good council and really good tax advise when you set these businesses up. Our gov and IRS get enough free money from Americans they need one more red cent like I need another hole in the head!
