There are no tax restrictions that I know of regarding the number of partners/members, however, I believe the SEC may have some restrictions or reporting requirements. If you speak with an attorney, make sure he is familiar with SEC requirements.

I apologize for not going thru the 200+ entries on LLC’S.

Is there a quick easy answer or post on the member limitations in an LLC as to the number of members?

Is each state different regarding max members?

What about members residing in diferent states?

Each state has different requirements as to number and who (or what) can be a member. In Michigan our statute has been liberalized a couple of times and this is one thing that has changed.

You might contact the secretary of state in California(if he didn’t resign) to validate this information.

Contact the equivalent government entity in the other states or contact an attorney.
