I got a property under contract and assigned my contract to another buyer. When we opened escrow the attorney didn’t find a deed under the sellers name. We found out that the seller didn’t own the property, he was doing a double close, the bank owned it. I also asked him if he owned this property prior to signing a contract with him and he said yes. Two weeks later the seller comes back and says that the bank found out there was 15k in back taxes on the property and that if our seller didn’t pay them they weren’t selling him the property. needless to say he didn’t close which means we didn’t close. Now my buyers who I assigned the property to is sueing me and the seller for breach of contract. Am I in breach of contract? My contract has a clause that states
" Assignor will not be held responsible for the performance of the assignee and shall further be held harmless for any other circumstances arising from or in connection with the property". Any response ASAP would be great. There attorney has just sent me the notice.
